The share capital requirements and conditions for shareholders have changed several times; we confirm the rules in force when the company is formed.
A limited liability company (SRL) is a form of company whose obligations are guaranteed by the company’s assets, while the shareholders are liable only up to the share capital they have subscribed.
The share capital is set by the shareholders according to the company’s needs, in line with any minimum required by law at the time of formation.
An SRL can be set up by:
- two or more shareholders who join together to carry on a business, share the profits and are liable for the company’s obligations up to their contribution;
- a single shareholder holding all the shares; the sole shareholder may be a natural or a legal person.
The documents needed to register an SRL are:
- a copy of each shareholder’s identity card or passport;
- proof of the registered office (lease, sublease, loan-for-use agreement, etc.); if you do not have premises for the registered office, our office can provide one;
- the neighbours’ consent, only if you will carry on activity at the registered office;
- specimen signatures.
Our office drafts all the documents and obtains the papers needed for the Trade Register file, including the name reservation.
The file submitted to the Trade Register includes:
- the registration application;
- copies of the shareholders’ identity cards or passports;
- proof of name availability and reservation;
- the articles of association;
- proof of the registered office / secondary offices;
- the neighbours’ consent;
- the tax record certificates of the shareholders and director;
- statutory declarations by the shareholders and directors that they meet the legal conditions for these roles;
- specimen signatures of the company’s representatives;
- proof of payment of the registration fees;
- the lawyer’s power of attorney (împuternicire avocațială).
On the basis of the power of attorney, we file the application with the Trade Register, represent you before the registration judge and hand you the company’s registration certificate within a few days of filing.
