A real estate agency is a company, usually set up as a limited liability company, whose business is selling or letting real estate on the basis of advice in this field. The agency studies supply and demand, identifies them and brings them together in return for a commission.
As with any procedure, there are some preliminary steps to set up an agency:
- file a request to check and/or reserve the company name — we recommend choosing three options in order of preference;
The Alina Szilaghi law office can check three name options at the Trade Register for the price of a single request, to make registration easier.
- choose the company’s activities — you must set a main activity, chosen from the activity classes with CAEN codes.
Real estate agencies normally use CAEN codes 682 — Renting and operating of own or leased real estate and 683 — Real estate activities on a fee or contract basis.
We are happy to help with this step.
- draw up the articles of association for the type of company you want.
The Alina Szilaghi law office then drafts the documents and obtains the papers for the Trade Register file, which includes:
- the registration application (original);
- the tax registration annex, available on the ONRC website;
- proof of name checking and reservation;
- copies of the shareholders’ identity documents or passports;
- proof of the right to use the premises for the registered office, together with a certificate from the tax authority confirming that no other document transferring the right to use the same premises has been registered;
If you do not have premises for the registered office, our office can provide one under a legal services contract for one year.
- the articles of association;
- the homeowners’ association’s and the neighbours’ consent;
- proof of payment of the capital;
- tax record certificates of the shareholders and the director;
- a statutory declaration by the founders/director that they meet the legal conditions;
- specimen signatures of the company’s representatives;
- proof of payment of the legal fees.
