Yes, a company’s registered office can be established temporarily at a lawyer’s professional office, under a legal services contract (art. 3(1)(h) of Law no. 51/1995). The period may not exceed one year, and the address is a legal address: the company does not carry on its business at the office. It is useful when you do not yet have suitable premises or do not want to rent a space just for the company’s address.
In brief
- Legal basis: art. 3(1)(h) of Law no. 51/1995 and the Statute of the legal profession;
- Maximum period: one year, under a legal services contract;
- Companies covered: those governed by Law no. 31/1990 (in particular SRL and SA);
- Nature of the address: a legal address, with no business, customers or storage at the office;
- Obligations that stay with the company: tax, accounting, filings and correspondence with the authorities.
What the law says
The possibility comes from the rules on the legal profession: art. 3(1)(h) of Law no. 51/1995 lists among a lawyer’s activities “the temporary establishment of the registered office of companies at the lawyer’s professional office”. Under the Statute of the legal profession the period may not exceed one year, and the arrangement runs under a legal services contract. When it ends, the company must move its registered office to other premises or enter into a new arrangement permitted by law.
The rules on proof of the registered office were simplified by Law no. 102/2020, and in 2026 proof of the right to use the premises remains part of the file filed with the Trade Register. For the incorporation steps, see our (Romanian) guide to setting up an SRL in 2026.
How the registered office is established
- Initial discussion. We check the company’s form and activity, and whether the solution suits you or the activity needs premises of its own.
- Legal services contract. The contract sets the registered office at the Cluj-Napoca office, the period (one year at most), how mail is received and the fee.
- Documents for the Trade Register. You receive the documents proving the registered office, for the incorporation file or for changing the registered office of an existing company. For an existing company, the change is decided by the shareholders and registered with the Trade Register.
- Mail. Mail addressed to the company is received at the office and you are notified by e-mail, as agreed in the contract.
- Tracking the deadline. Before the contract ends, the company must decide where its registered office will be next.
What the service includes
- establishing the company’s registered office at the office’s professional address in Cluj-Napoca, under the legal services contract;
- the documents proving the registered office in the Trade Register file, both on incorporation and on a change of registered office;
- receipt of mail addressed to the company and notifying you about it;
- if you wish, preparing and filing the incorporation or change-of-office file (see company and commercial law).
When it is a good fit
- you are starting a business and do not yet have premises, or do not want to rent any;
- you are a company or entrepreneur from another town or from abroad and want an address in Cluj-Napoca;
- your current premises have unclear use rights or cannot be used as a registered office;
- you are moving and need a temporary address until the new registered office is settled.
Limits to keep in mind
- The contract cannot exceed the period set by the Statute. If you need an address long term, you need a plan for the period that follows.
- A hosted registered office is not somewhere you can receive customers, store goods or run the business. If your activity requires a place of business, authorised premises or an authorisation tied to the address (for example regulated activities or retail open to the public), those requirements are assessed separately and this solution may not be enough.
- Tax and accounting obligations, filings and correspondence with the authorities remain the company’s responsibility. The office does not become the company’s administrator.
- The service is for companies governed by Law no. 31/1990. For other legal forms, we check whether the solution is permitted.
What happens when the registered office expires
An expired registered office has tax consequences: under the Fiscal Procedure Code, the expired period for which the premises are held as a registered office can lead to the taxpayer being declared inactive, with consequences for deducting expenses and VAT. The deadline should therefore be tracked in advance.
Costs and quote
The fee depends on the length of the contract and the volume of mail and is agreed before signing (see Fees). If the company needs continuing legal support, see our retained legal services. Ask for a quote for a registered office.
