Retained legal services are a legal services contract, for a fixed or open-ended period, with a periodic fee set according to the volume and complexity of the work. They suit companies that need legal support on a regular basis and want to know from the start how the work is organised and what it costs.
Our team and partner network include associate lawyers, tax advisers, auditors and bailiffs. We work closely with our external specialists to provide 360° solutions.
What retained assistance can cover
- Commercial contracts: reviewing, negotiating, drafting and adapting contracts with customers, suppliers, distributors and partners;
- Corporate law: the company’s constitutional documents, general meeting resolutions, changes in the shareholder structure, transfers of shares, relations between shareholders. A current example is the majority required at a reconvened meeting, explained in our (Romanian) article on ICCJ Decision no. 9/2026;
- Employment: individual contracts, internal rules, dismissals and reorganisations, including hiring non-EU nationals under the new rules (see hiring non-EU nationals);
- Data protection (GDPR): policies, processor contracts and responses to data subjects’ requests (see GDPR advice);
- Compliance and licensing: checking the licences and authorisations the business needs, including in regulated sectors such as gambling;
- Debt recovery: demand letters, negotiation and enforcement (see debt recovery);
- Due diligence: legal review of a company or asset before an acquisition or investment;
- Negotiation, mediation and arbitration: representing the company in negotiations and in the amicable resolution of disputes;
- Representation: before courts and authorities, on the basis of a power of attorney.
How it works
- Initial discussion. We establish the company’s needs, the documents already in place and the risks to deal with first.
- The legal services contract. We set out in writing the scope of the assistance, the periodic fee, what it includes and what is billed separately (for example representation in lawsuits, where the fee is set per case).
- Communication. We agree a point of contact, the working channels and how we keep you informed about matters in progress.
- Periodic review. We can agree to review, at set intervals, contracts in force, open files and new risks, including legislative changes affecting the company.
The fee is proportionate to the volume and complexity of the work and is set by contract (see Fees). We cannot promise a particular outcome in any case, but we can state clearly what the periodic fee includes and what it does not.
Who it suits
Companies with day-to-day activity that sign contracts often, have employees, handle personal data or operate in a regulated sector; start-ups that want a legal partner from incorporation (company formation); and foreign companies operating in Romania.
If you are not sure you need a retainer, you can begin with an online or phone consultation. Book a discussion.
